Fast-growing
pre-IPO global Software Company seeks to expand its in-house legal team
with an additional Corporate Counsel to support its growing legal needs
across a variety of domestic and international requirements. Candidate
must have a minimum of 3 years of experience drafting and negotiating
technology licensing and service agreements both in the U.S. and
internationally. Must
have large law firm experience, a strong background in technology
licensing, and cross-border transactions for be considered for this
position. RESPONSIBILITIES: - Will
work primarily with sales and operations teams in the drafting and
negotiation of technology services agreements, license agreements,
vendor agreements, subcontractor and consulting services agreements,
NDAs and other miscellaneous business agreements.
- Will
negotiate transactions that include software hosting and managed
services, IP/technology licenses, indemnifications, limitation of
liability,and representations and warranties.
- Will
conduct cross-border transactions with Canada, UK, Germany, EU, Brazil,
Mexico, Singapore, China, India, Dubai, Australia, NZ.
- Will
interact and coordinate with other Legal Department staff members,
other employees, outside counsel, and opposing counsel with respect to
negotiating client agreements
- Will perform legal research and prepare internal legal memoranda to improve legal processes and systems.
QUALIFICATIONS: J.D.
from an accredited law school with excellent academics; top law firm
experience required; and global experience preferred. Must be currently
licensed to practice law in at least one U.S. state (preferred licensing
in CA, NV, PA, NY or DE). - A minimum of 3 years of substantive technology licensing and service contracting experience with a large law firm.
- Must have significant cross-border transactional experience (Canada, UK, EU, Brazil, Mexico, Asia, India, Dubai, Australia, NZ).
- Experience with copyright and trade secret law, IP technology licensing, and associated indemnities required.
- Familiarity
with export control, anti-corruption, and other international
compliance matters that affect growing global companies required.
- Experience with Corporate Governance will be considered a big plus.
