Position: Corporate Counsel
Reports to: CFO
Location: Eden Prairie, MN (In Office, Not Remote)
Compensation: $200K-220K (max) Base (depending on the candidate’s level of experience) + Bonus: 20%

COMPANY

Our client, a leading and fast-growing construction material manufacturer, is recruiting a Corporate Counsel to play a key role in the Company’s continuing growth and success, by serving as a valued partner to the senior executives, and company leaders in the Sales and other business teams, and in establishing and maintaining strong and profitable client relationships. This Corporate Counsel will be the company’s sole in-house attorney leading the legal function.

Reporting to the Chief Financial Officer, the Corporate Counsel will be the company’s sole in-house attorney leading the legal team and function and all the legal matters affecting the Company within the geographic region of North America. Key Responsibilities: Reviewing and negotiating contracts and handling various corporate and compliance matters.

RESPONSIBILITIES

  • Review, negotiate, and finalize a wide variety of contracts and agreements, handle significant corporate transactions (including M&A), and oversee compliance matters including creating and implementing compliance procedures where needed.
  • Serves as primary in house lawyer for business conducting operations within the United States and Canada, advising senior management on legal issues such as contracts and compliance.
  • Leads internal legal function and support internal business leaders in understanding legal considerations and solutions.
  • Responsible for providing analysis and counsel on corporate legal issues such as general contracts, third party agreements, compliance, and vendor/supplier relationships
  • Lead Company’s collections efforts with vendors/suppliers/customers and file liens for the Company when appropriate and assist with the management of insurance risks (lability, employee liability etc.).
  • Draft agreements that minimize risks and maximize legal rights and anticipate and guard against legal risks facing the company.
  • Develop and recommend company policy and position on legal issues, compliance, and regulation
  • Establish best practices for contract review processes and contract management, maintain confidentiality, and conduct and coordinate research into a variety of legal issues.
  • Work with and manage outside counsels on legal matters when needed.
  • Assist with additional tasks and projects as required.

REQUIREMENTS

  • Candidates must hold a Juris Doctor (J.D.) or equivalent law degree from an accredited institution. Must be in active and good standing with at least one State bar.
  • Must have a minimum of five (5) years of experience, preferably in the construction industry, experience in both a law firm and company setting will be considered a plus.
  • Extensive contracts and corporate experience (including M&A), construction contracts experience and Union experience highly desired.
  • Strong negotiation skills and demonstrated ability to understand and clearly communicate complex legal issues to business teams and counterparties.
  • Ability to develop legal strategies and objectives, in-depth understanding of how legal issues affect businesses, high degree of professional ethics and integrity, excellent judgment and analytical skills.
  • Strong business acumen of general business practices, as well as knowledge of an organization’s functioning.
  • Candidates should also have strong cultural acumen as well to function effectively, and a collaborative style to build trusting internal relationships to enable teamwork.
