Job Description

OVERVIEW:

ESQ Recruiting is representing a fast growing startup Software company in the Gaming Industry seeking to hire the Company's first VP & General Counsel. The Vice President and General Counsel will serve as the Company’s sole and primary legal counsel, and will be responsible for providing strategic and timely legal advice to the CEO and members of the senior management team to achieve the Company’s business objectives. The VP & General Counsel will report directly to the CEO, with dotted line to the COO.

RESPONSIBILITIES:

  • Provide legal input for strategic decisions, monitor and manage legal risk, and advise management on various legal issues relating to the business of the Company.
  • Manage, advise on, negotiate complex legal and business transactions, including drafting and negotiating a wide variety of contracts on behalf of the Company, including customer, vendor, and other third party contracts.
  • Handle other day-to-day legal issues arising in a growing and complex business including employment, intellectual property and corporate governance.
  • Oversee and manage potential and actual conflicts, including lawsuits and settlement negotiations, and define a strategic defense for cases filed against the Company.
  • Provide legal advice on valuable intellectual property rights such as patents, technical data, trade secrets, licenses, copyrights and trademarks.
  • Provide protection of the Company’s intellectual property by enforcing statutory, regulatory and contractual obligations, and by securing intellectual property rights and patent protection.
  • Provide advice and assistance on all matters relating to invention management and preparing patent applications on inventions.
  • Explain, clarify and simplify complex technical information; interpret laws, rulings and regulations for the intellectual property; and conduct legal, technical and scientific research and gather evidence.
  • Monitor research and development activities for the identification of inventions and potential external claims.
  • Overseeing regulatory compliance issues so that the Company conducts its business in compliance with applicable laws and regulations.
  • Working with senior management towards developing, implementing and enforcing company policies and procedures, including the Code of Business Conduct.
  • Oversee the selection, retention, management and evaluation of outside counsel, when needed.
  • Other duties as needed.

REQUIREMENTS:

  • J.D. from an ABA-accredited law school, and to be a member in good standing of a state bar association of a U.S. jurisdiction.
  • Minimum of 5 years of practice experience, with a specialization in intellectual property law, preferably in patent law.
  • Must be a strategic thinker – i.e., a lawyer who can design a sales contracting process that will protect the company while also helping the company optimize revenues. Previous experience managing the sales contracting process for a software company is highly desired.
  • Ability to timely support multiple complex assignments with high-quality legal work and/or practical legal advice, i.e., advice that is presented in such a way as to help senior management make decisions
  • The ideal candidate will be someone who can create and implement systems to promote efficiency, and be able to take responsibility and initiative.
  • Must be self-motivated, self-disciplined, service-minded, and highly result-oriented with the ability and flexibility to manage changing priorities and demanding deadlines.
  • Must possess strong business judgment and the ability to understand and respond to business issues and needs.
  • A strong commitment to excellence and high standards of integrity, professionalism, loyalty, honesty, respect, open mindedness, open communication, respect, and business ethics is required.
  • Must be able to work independently, and handle both small and large matters with equal effectiveness and enthusiasm.
  • Must be detail-oriented with excellent verbal and written communication skills.
